5. Customer Responsibilities
Customers are responsible for:

• Safeguarding usernames and passwords;
• Providing accurate information;

6. Training and Educational Materials
All training programs, videos, manuals, documents, templates, and educational materials provided by MDG are proprietary and remain the intellectual property of MDG.
Customers may not:

• Publish;
• Sell;
• Share with unauthorized third parties;
without prior written consent.

7. No Guarantee of Results
MDG provides software, tools, education, and support designed to assist customers in increasing leads and sales opportunities.
MDG does not guarantee:
• Any specific number of leads;
• Revenue increases;
• Sales conversions;
• Return on investment;
• Business growth;
• Profitability.
Results vary based upon numerous factors outside MDG's control, including:
• Market conditions;
• Customer implementation;
• Sales processes;
• Advertising expenditures;
• Competition;
• Product offerings.
Past performance does not guarantee future results.

8. Customer Data
Customers retain ownership of their data.
By using the Services, Customers grant MDG the right to process and store data solely for:
• Delivering Services;
• Improving functionality;
• Providing support;
• Maintaining security.
Customers are solely responsible for ensuring compliance with:
• CAN-SPAM Act;
• TCPA;
• GDPR;
• CCPA/CPRA;
• State privacy laws;
• Any other applicable regulations.

9. Fees and Payments
Customers agree to pay all fees associated with purchased Services.
Unless otherwise specified:
• Fees are due upon invoice;
• Subscription fees are billed according to the selected plan;
• Late payments may result in suspension or termination;
• All fees are stated in U.S. dollars.
Customers are responsible for any taxes imposed by governmental authorities.

10. Refund Policy

13. Third-Party Services

MDG is not responsible for the availability, security, or performance of third-party services.

14. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
MDG DISCLAIMS ALL WARRANTIES, INCLUDING:
• Merchantability;
• Fitness for a particular purpose;
• Non-infringement;
• Continuous availability;
• Error-free performance.

15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDG SHALL NOT BE LIABLE FOR:

• Loss of business opportunities;

• Indirect damages;
• Incidental damages;
• Consequential damages.
MDG's total liability shall not exceed the amount paid by Customer to MDG during the twelve (12) months preceding the claim.

16. Indemnification
Customer agrees to defend, indemnify, and hold harmless MDG and its officers, employees, contractors, and affiliates from any claims, liabilities, damages, losses, or expenses arising from:
• Customer's use of the Services;
• Violation of this Agreement;
• Violation of applicable laws;
• Misuse of customer or prospect data;
• Infringement of third-party rights.

17. Suspension and Termination
MDG may suspend or terminate Services immediately if:
• Fees remain unpaid;
• Customer violates these Terms;
• Customer engages in unlawful activities;
• Continued access poses security or operational risks.
Upon termination, all licenses granted under this Agreement shall cease.

18. Force Majeure
MDG shall not be liable for delays or failures caused by events beyond its reasonable control, including:
• Natural disasters;
• Power outages;
• Internet disruptions;
• Cyberattacks;
• Government actions;
• Labor disputes;
• Third-party service interruptions.

19. Governing Law
This Agreement shall be governed by and interpreted under the laws of the State of Texas, without regard to conflict-of-law principles.
Any legal action arising from this Agreement shall be brought exclusively in the state or federal courts located within Texas.

20. Changes to These Terms
MDG reserves the right to modify these Terms and Conditions at any time.
Updated versions shall become effective upon posting to the MDG website.
Continued use of the Services constitutes acceptance of any revised Terms.
